1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," "your") and Intellix ("we," "us," "our"), an unincorporated business operated in the United States, governing your access to and use of the Intellix Core™ platform and related services (collectively, the "Service").
By creating an account, connecting integrations, or otherwise accessing the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.
2. Eligibility
To use the Service, you must:
- Be at least 18 years of age
- Have the legal authority to enter into these Terms
- Not be prohibited from using the Service under applicable law
- If using on behalf of an organization, have the authority to bind that organization to these Terms
Export Controls: You represent that you are not located in a country subject to U.S. government embargo or designated as a terrorist-supporting country, and you are not listed on any U.S. government list of prohibited or restricted parties.
3. Description of Service
Intellix Core™ is a business intelligence platform that provides:
- Data Integration: Connect to third-party platforms (e.g., Shopify, Stripe, Google Ads, Meta Ads, TikTok Ads, Klaviyo) or upload CSV files to import business metrics
- Analytics Dashboard: Visualize key performance indicators and business metrics
- AI-Powered Insights: Automated analysis and recommendations based on your data
- Forecasting: Monthly revenue projections based on historical data with confidence bands
- Customer Segmentation: RFM-based behavioral analysis of anonymized customer cohorts
- Spend Efficiency: Marketing spend analysis, channel attribution, and efficiency metrics
- Smart Alerts: Notifications for significant metric changes, delivered via Email, SMS, Slack, Discord, or webhooks (channels vary by subscription tier)
- Action Planner: Track business actions and measure their impact on metrics
- Business Agent: Conversational AI for natural language data queries
The Service is provided "as is" and features may be added, modified, or removed at our discretion. Feature availability varies by subscription tier as described on our pricing page.
4. Account Registration and Security
4.1 Account Creation
To access the Service, you must create an account by providing accurate and complete information. You agree to update this information to keep it current.
4.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
- Use a strong, unique password
- Complete mandatory two-factor authentication (2FA) setup during onboarding
- Maintain active 2FA on your account at all times
- Notify us immediately of any unauthorized access
- Not share your account credentials with others
4.3 Account Termination
We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion.
5. User Data and Ownership
5.1 Your Data
You retain all ownership rights to the data you upload to or import through the Service ("User Data"). By using the Service, you grant us a limited license to process, store, and display your User Data solely for the purpose of providing the Service.
5.2 Data Accuracy
You are responsible for ensuring that the data you upload is accurate, lawful, and does not violate any third-party rights. You represent and warrant that you have all necessary rights to use and upload such data.
5.3 No Sale of Data
We do not sell, rent, or trade your User Data to third parties. We do not share your data for advertising or marketing purposes. Your data is only shared with third-party service providers (subprocessors) as strictly necessary to operate Intellix Core™, as described in our Privacy Policy.
6. Third-Party Integrations
6.1 Data Input Methods
Intellix Core™ supports multiple methods for importing your business data:
- OAuth Integrations: Connect third-party platforms (Shopify, Stripe, Google Ads, Meta Ads, TikTok Ads, Klaviyo) via secure OAuth authorization
- Manual CSV Upload: Upload business metrics directly via CSV files
- API Access: Programmatically send data via our API (where available)
When you connect OAuth integrations, you authorize us to access and retrieve data from those services on your behalf. This access is read-only; we do not create, modify, or delete data in your connected accounts.
6.2 Third-Party Terms
Your use of third-party integrations is subject to the terms and policies of those third-party services. You are responsible for complying with their terms. Supported integrations include:
- Shopify: E-commerce data (orders, revenue) — subject to Shopify API Terms of Service
- Stripe: Payment data (transactions, revenue) — subject to Stripe Services Agreement
- Google Ads: Advertising performance — subject to Google Ads Terms and API Terms
- Meta Ads: Facebook/Instagram advertising — subject to Meta Platform Terms and Developer Policies
- TikTok Ads: TikTok advertising — subject to TikTok for Business Terms and Marketing API Terms
- Klaviyo: Email/SMS marketing performance — subject to Klaviyo Terms of Service
6.3 Disconnection
You may disconnect any third-party integration at any time through the Data Sources settings. Disconnection revokes our access going forward and we stop fetching new data; revocation may take a short period to propagate.
7. Acceptable Use Policy
You agree not to:
- Use the Service for any illegal purpose or in violation of any applicable laws
- Upload, transmit, or share data that you do not have the right to use
- Upload personally identifiable information (PII) of individuals without proper authorization
- Attempt to gain unauthorized access to our systems, other user accounts, or connected services
- Interfere with, disrupt, or overburden the Service or its infrastructure
- Circumvent, disable, or interfere with security features of the Service
- Use automated systems (bots, scrapers, crawlers) to access the Service without our written permission
- Reverse engineer, decompile, disassemble, or derive source code from any aspect of the Service
- Attempt to probe, scan, or test the vulnerability of the Service or breach security measures
- Forge headers, manipulate identifiers, or impersonate any person or entity
- Introduce viruses, malware, or other malicious code into the Service
- Bypass rate limits, API restrictions, or other technical safeguards
- Extract, harvest, or collect data from the Service except through authorized features
- Sublicense, resell, or redistribute the Service without authorization
- Use the Service to copy, replicate, or compete with the Service by extracting or using our non-public features, AI prompts, workflows, or proprietary logic
8. Confidentiality and Credentials
You are responsible for maintaining the confidentiality of:
- Your account credentials (password, recovery codes, 2FA devices)
- Any API keys or tokens associated with your account
- Access tokens for connected third-party integrations
We are not responsible for unauthorized access, data loss, or other damages resulting from your failure to protect your credentials or from credential compromise on your end.
9. Beta and Experimental Features
From time to time, we may offer beta, preview, or experimental features ("Beta Features"). Beta Features are provided "as is" and may be:
- Unstable, incomplete, or contain bugs
- Changed, suspended, or discontinued at any time without notice
- Subject to different or additional terms
Your use of Beta Features is at your own risk. We are not liable for any issues arising from Beta Features.
10. AI-Generated Content and Disclaimers
10.1 How Intellix Core™ Uses AI
Intellix Core™ is primarily a deterministic analytics platform. Core calculations (metrics, aggregations, dashboards) use mathematical formulas and statistical models applied to your data. AI (powered by OpenAI) is used as an enrichment layer on top of the deterministic foundation across all AI-enabled features:
- AI Insights: Natural language summaries and recommendations based on your metrics
- Forecast: AI-enriched analysis of statistical projections
- Spend Efficiency: AI-powered marketing spend optimization recommendations
- Smart Alerts: AI-enriched explanations of metric anomalies
- Customer Segments: AI-generated segment descriptions and recommendations
- Business Agent: Conversational AI for querying your data in natural language
All AI features use the same underlying logic: deterministic data processing first, then AI enrichment for natural language output and recommendations.
All AI-generated outputs are:
- Derived from aggregated metrics (never raw customer PII)
- Statistical estimates for informational purposes only
- Not guarantees or predictions of future performance
- Subject to the accuracy and completeness of the data you provide
10.2 Not Professional Advice
THE SERVICE DOES NOT PROVIDE FINANCIAL, LEGAL, TAX, INVESTMENT, OR PROFESSIONAL ADVICE. AI-generated insights and recommendations should not be relied upon as the sole basis for business decisions. You should consult with qualified professionals before making significant business or financial decisions.
10.3 User Responsibility
You are solely responsible for any decisions or actions taken based on information provided by the Service, including but not limited to:
- Marketing budget allocation based on AI Insights or forecasts
- Business strategy changes based on AI recommendations
- Customer targeting based on segment suggestions
- Operational decisions based on Smart Alert notifications
- Any action taken based on Business Agent responses
We disclaim all liability for losses or damages arising from reliance on AI-generated content, deterministic calculations, or any other output of the Service.
11. Payment Terms
11.1 Subscription Fees
Access to certain features of Intellix Core™ requires a paid subscription. Subscription plans, pricing, and features are described on our pricing page and may be updated from time to time. Feature availability, including notification channels (Email, SMS, Slack, webhooks), integrations, and usage limits, varies by subscription tier as specified on the pricing page. We may offer promotional pricing (such as Founder Pricing for early adopters) at our discretion; promotional terms will be disclosed at time of purchase.
11.2 Auto-Renewal
Subscriptions automatically renew at the end of each billing period (monthly or annual) until canceled. By subscribing, you authorize us to charge your payment method on a recurring basis. We will provide required renewal and price-change notices where applicable by law.
11.3 Upgrades and Downgrades
You may upgrade or downgrade your subscription at any time through your account settings. Upgrades take effect immediately, and you will be charged a prorated amount for the remainder of your billing period. Downgrades take effect at the start of your next billing period.
11.4 Refunds
Refunds are available under the following conditions:
- Annual subscriptions: Full refund if requested within 30 days of initial purchase
- Monthly subscriptions: Full refund if requested within 7 days of initial purchase
After these periods, we do not provide refunds for partial billing periods or unused time. Refund requests can be submitted via support@intellix.io. We may deny refund requests in cases of fraud, abuse, chargebacks, or violation of these Terms.
11.5 Cancellation
You may cancel your subscription at any time through your account settings (in-app). Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the end of your billing period.
11.6 Taxes
Subscription fees are exclusive of applicable taxes (such as sales tax or VAT), which may be added to your invoice based on your location.
11.7 Failed Payments
If your payment method fails, we will attempt to notify you and may retry the charge. If payment remains unsuccessful after reasonable notice, we may suspend or terminate your access to paid features.
12. Intellectual Property
12.1 Our Rights
The Service, including its software, design, text, graphics, logos, and trademarks, is owned by Intellix and protected by intellectual property laws. "Intellix™" and "Intellix Core™" are trademarks of Intellix.
12.2 Limited License
We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes in accordance with these Terms.
12.3 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction or compensation to you.
13. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
- Scheduled maintenance (with reasonable advance notice when possible)
- Unplanned outages or technical issues
- Factors beyond our reasonable control (e.g., third-party service outages)
We are not liable for any losses resulting from Service unavailability.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTELLIX AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or business opportunities
- Loss of data or data corruption
- Business interruption
- Damages arising from decisions made based on the Service or AI-generated content
- Damages arising from third-party integrations, services, or outages
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
15. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
- WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF AI-GENERATED CONTENT, FORECASTS, OR ALERTS
- WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR TIMELINESS OF DATA FROM THIRD-PARTY INTEGRATIONS (DATA MAY BE INCOMPLETE, DELAYED, OR AFFECTED BY THIRD-PARTY OUTAGES)
You acknowledge that reliance on AI-generated insights, forecasts, and alerts is at your own risk.
16. Indemnification
You agree to indemnify, defend, and hold harmless Intellix and its owners, employees, contractors, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) the data you upload or provide to the Service.
17. Termination
Either party may terminate this agreement at any time. Upon termination:
- Your right to access the Service ceases
- We will provide a reasonable opportunity (typically up to 30 days) to export your data where practicable, except in cases of security concerns, fraud, abuse, or legal requirements
- We may delete your data in accordance with our Privacy Policy
- Provisions that by their nature should survive termination will survive (including Sections 14, 15, 16, and 18)
18. Governing Law and Dispute Resolution
18.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
18.2 Informal Resolution
Before initiating arbitration, you agree to first contact us at support@intellix.io and attempt to resolve the dispute informally for at least 30 days.
18.3 Binding Arbitration
If informal resolution fails, any dispute arising under these Terms shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA"). The AAA Consumer Arbitration Rules will apply where required; otherwise, the AAA Commercial Arbitration Rules will apply. Any disputes regarding which AAA rules apply will be decided by the AAA. Arbitration may be conducted remotely (telephonically or by video conference) unless otherwise agreed. The arbitrator's decision shall be final and binding.
18.4 Class Action Waiver
YOU AND INTELLIX AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
18.5 Exceptions
Either party may bring claims in small claims court if the claim qualifies; such claims are not subject to arbitration and will remain in small claims court. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent infringement of intellectual property rights.
18.6 Opt-Out
You may opt out of the arbitration and class action waiver provisions by sending written notice to support@intellix.io within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration.
19. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we will also notify you via email. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
20. Miscellaneous
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Intellix regarding the Service.
- Severability: If any provision is found unenforceable, the remaining provisions will remain in full force.
- Waiver: Our failure to enforce any right or provision does not constitute a waiver of such right or provision.
- Assignment: You may not assign these Terms without our consent. We may assign these Terms without restriction.
- Force Majeure: We are not liable for failure to perform due to circumstances beyond our reasonable control.
- No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
- Electronic Communications: You agree that notices, disclosures, and other communications we provide to you electronically (including via email and in-product notifications) satisfy any legal requirement that such communications be in writing.
- Usage Limits: We may enforce reasonable usage limits to protect Service reliability (e.g., rate limits, concurrency limits, or feature throttling).
